MEMBERSHIP TERMS AND CONDITIONS (DROP-IN TERMS FOLLOW)

Snake River Sharespace (SRS) membership does not create a tenancy but a prepaid usage license to use the provided amenities on a monthly or casual basis. Ongoing membership depends upon adherence to the terms of this Agreement.

In consideration for the mutual benefits exchanged by SRS (the “Company”) and the undersigned (“You”, the “Member”, collectively the “Parties”), the Parties hereby agree and consent to the following terms, conditions and representations:

1. Services

SRS will provide access to the “premises” (based on plan), internet access, printer access, break area, knowledge resources and other offerings of SRS, at its sole discretion, hereinafter referred to as “services” as part of membership. Services are subject to availability and to the Member Agreement. If any provided Service is unavailable, the Member shall inform SRS of that fact and SRS shall have a reasonable time in which to provide the service or a reasonable substitute.

The “premises” is defined for this Agreement as the designated Co-working area. This Agreement does not provide the Member with any right to use other office space, amenity, fixture, facility or other portion of the building located at 615 3rd Ave SW, Pine City, Minnesota, without express written permission from SRS. Unauthorized entry into such areas will be considered a material breach of this Agreement and may result in immediate termination of membership and loss of access privileges. SRS reserves the right to take further action, including notification of building ownership and law enforcement, where appropriate.

2. Membership Term & Commitment

Memberships are entered into for a minimum initial term of twelve (12) months (“Membership Term”), beginning on the Member’s start date.

Membership fees are billed on a monthly basis for convenience; however, the Member’s obligation to pay continues for the full Membership Term unless terminated in accordance with this Agreement.

3. Rules and Policies

All Members agree to follow Snake River Sharespace’s community rules and operational policies as a condition of continued membership. These rules may address but are not limited to: hours of operation, noise levels, use of shared equipment, space booking protocols, guest policies, and decorum in shared areas.

These rules are designed to ensure the comfort, productivity, and safety of all Members. They may be updated, amended, or supplemented at any time by SRS, in its sole discretion. Updated rules will be posted electronically and/or in common areas, and continued use of the space constitutes acceptance of any such changes.

Regular hours of operation for SRS are daily 7am to 7pm. If a member needs office services outside of these hours, a reservation of one of the private rooms (hot desk room or conference room) must be made for the date and period of time needed, e.g., 1 hr, 4hr (“half day”), or 8hr (“full day”).

4. Payments

Member will be automatically invoiced and billed based on their chosen membership plan. Payment is required by the 3rd of each month, or at the date specified in the initial invoice.

SRS reserves the right to charge a $50 late fee (per week unpaid) following a 3 day grace period and/or withhold services immediately if payments are not received on time.

Failure to use the Services does not relieve the Member of payment obligations during the Membership Term.

5. Annual Membership Pause

Once per Membership Term, a Member may request to pause their membership for one (1) calendar month without payment, provided at least thirty (30) days’ written notice is given.

The pause month does not extend the Membership Term, is non-transferable, and may not be used retroactively.

6. Damages / Neglect

Member will accept full responsibility for any damages caused by neglect or abuse. SRS reserves the right to charge Member’s payment method to recoup the cost of any damage at any time without prior notice.

7. Guests

The basic membership does not allow for guests in the co-working sharespace. Guests who want to join the co-working sharespace for a day can pay the daily drop-in rate of $10/day. Future rates may be developed for multiple days or weekly visits and guests may also pay those fees as they are posted online. If a member reserves the hot desk room or conference room, they may have guests in those rooms for no extra cost during the period of reservation. The hot desk room holds 2 people (including the member) and the conference room holds a total of 10 (including the member). Additional private office spaces that guests may be allowed into upon reservation of these rooms may become available and will be posted online.

8. Liability

You hereby waive and hold harmless SRS, its members, officers, directors, shareholders, contractors, and employees (collectively, the “Releasees”) from any and all claims, liabilities, actions, or suits with respect to any damage, injury, or loss to your person or property arising out of or in connection with your use of the Premises or participation in SRS activities, to the fullest extent permitted by law. This waiver includes claims resulting from the ordinary negligence of the Releasees, but does not extend to gross negligence, intentional misconduct, or any other liability that cannot be waived under Minnesota law.

To the fullest extent permitted by law, SRS shall not be liable to the Member or any guest for any indirect, incidental, special, punitive, or consequential damages of any kind—whether arising in contract, tort, or otherwise—even if SRS has been advised of the possibility of such damages. This includes, without limitation, lost profits, data loss, business interruption, reputational harm, or other similar losses, arising out of or in connection with the use of the Premises.

9. Internet Use and Data Security

Wireless internet access may be provided by Snake River Sharespace (“SRS”) as a service for Member use. By using this service, you acknowledge and accept the risks inherent to shared networks, including the potential for unauthorized access, data interception, or exposure of personal or business information.

SRS makes no guarantee as to the security, availability, or performance of the network, and expressly disclaims any liability for loss, theft, or compromise of data transmitted over the network, whether due to malware, hacking, software vulnerabilities, or user error.

Members are solely responsible for the security of their own devices and data, and are encouraged to use secure connections (e.g., VPNs), firewalls, and up-to-date antivirus software while on the Premises.

Members are barred from illegal downloading, downloading or streaming pornography or other offensive content, hosting servers, crypto mining, attempting to access unauthorized systems, distributing malware or spam, or activities that consume excessive bandwidth, electricity or degrade the experience for others. Any such activities constitute a material breach of this agreement and will result in immediate termination

10. Security

Exterior doors are securely locked and latched 24/7. There will be a $100 fee or cost of damages/loss (whichever is higher) for entry doors left unlocked and/or propped open as well as doors not properly locked. Door access is private and assigned to each member. Sharing of this private code will result in the immediate termination of the membership. Guests may be let in by the member taking full responsibility for that guest.

11. Security Cameras & Recording

For the safety and security of members and the facility, Snake River Sharespace utilizes video recording devices in building entry points and shared common areas only.

There are no recording devices in private offices, conference rooms, or designated desk areas.

By entering the premises, Members and their guests acknowledge and consent to such recording for security, safety, and operational purposes.

Recorded data is not sold or shared with third parties except as required by law or for legitimate security, insurance, or incident response purposes. Recordings are retained for a limited period and then deleted in accordance with system settings and operational needs.

12. Conduct and Community Standards

All Members and their guests are expected to act with courtesy, respect, and mindfulness of others using the space. Snake River Sharespace is designed as a shared environment where calm, focus, and professionalism are valued.

Any behavior that disturbs or disrupts the experience of others—whether through noise, aggression, disrespectful conduct, or misuse of shared areas—may result in suspension or termination of membership at the sole discretion of SRS.

You will not defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others. There is no solicitation of other guests, whether for financial gain or for any other reason whatsoever. This is an open office shared by many different people and organizations. Mutual respect is required. Anything said should be expected to be heard by others. You must take good care of all parts of SRS, its equipment, fittings and furnishings, which you use. You must not alter any part of it. You are liable for any damage caused by you or those in SRS with your permission or at your invitation. You must not install any furniture or workspace equipment, cabling, IT or telecom connections without our consent, which we may refuse at our absolute discretion for any reason or no reason.

13. Termination by SRS

Snake River Sharespace (SRS) may terminate this Agreement and the Member’s right to access the space at any time, effective immediately upon written notice, for any of the following reasons:

Violation of Rules: A material breach of any provision of this Agreement, including but not limited to failure to comply with the Rules and Policies referenced herein.

Nonpayment: Failure to make any payment due under this Agreement within 10 days after it is due.

Improper Conduct: Behavior that endangers the safety, disrupts the peace, or negatively affects the experience of other Members or guests.

Unauthorized Use: Unauthorized use of the premises or breach of the license terms.

In the event of termination by SRS, any unused portion of prepaid membership fees may be forfeited at SRS’s sole discretion, unless required otherwise by law. Member shall promptly vacate the premises, remove all personal belongings, and return any access devices provided.

14. Termination by a Member

Members may request early termination of this Agreement prior to the end of the Membership Term by providing at least thirty (30) days’ written notice.

In the event of early termination, the Member agrees to pay an early termination fee equal to two (2) months of membership fees, which shall be due and payable upon termination.

Membership fees already paid are non-refundable

15. No Tenancy

The Company provides coworking services on an “as is” basis as a service and not as a lease of real property, and disclaim all warranties and conditions, whether express, implied or statutory, including, but not limited to, merchantability, title, quiet enjoyment, possession, fitness for a particular purpose or use, to the extent permitted by law. You hereby understand, agree and warrant that you are not a tenant and the Company is not a landlord and there is no tenancy relationship whatsoever as defined in any case law or legislation, rules, or regulations.

16. No Residency

SRS is a commercial facility. Using the location or your membership for the purpose of establishing a personal residence is not permitted. You hereby understand, agree and warrant that you are not a residential tenant at SRS.

17. Non-Disclosure

In your presence at SRS, you may learn of confidential information of the Company or of its members. Such confidential information may include business information, trade secrets, technology, processes, customers and prospects that are intended to be confidential and proprietary. You hereby agree and consent to not disclose information that you obtain that was intended to remain confidential.

18. Abandoned Property

Member’s personal property left behind at SRS after the end of the term will be considered abandoned and SRS may move, store, retain or dispose of these items at Member’s cost.

19. Force Majeure & Interruption of Access

SRS shall not be held liable or in default for any failure or delay in performing its obligations, or for the temporary closure or inaccessibility of the space, due to events beyond its reasonable control. These may include, but are not limited to: fire, flood, natural disaster, acts of war or terrorism, civil unrest, pandemic or public health emergency, government order or restriction, utility failure, or structural damage rendering the space unsafe or unfit for occupancy.

In such cases, SRS may, at its sole discretion:

Suspend Member access temporarily;

Offer reasonable substitute accommodations (if available); or

Cancel this Agreement without further obligation beyond refunding any prepaid fees for periods during which the Member was unable to access the space.

Member acknowledges that SRS is not responsible for consequential losses arising from such interruptions.

20. Governing Law

This agreement is governed under the laws of the State of Minnesota.

21. Nondiscrimination & Accessibility

Snake River Sharespace complies with applicable laws governing public accommodations, including the Americans with Disabilities Act and the Minnesota Human Rights Act. Membership is open to the public without discrimination based on race, color, religion, national origin, gender, sexual orientation, gender identity, age, or disability. Reasonable accommodations will be made upon request.

22. Notice

Written notice for purposes of this agreement means an email to snakeriversharespace@gmail.com. Any notice to a Member will be by email to the Member’s email account provided upon commencement of this Agreement.

Snake River Sharespace (SRS) reserves the right to update the Member Agreement at any time with reasonable notice to you. Snake River Sharespace (SRS) drop-in does not create a tenancy but a prepaid usage license to use the provided amenities on a drop-in. You also have access to internet, printer (per page costs), break area, and the restroom, at its sole discretion, hereinafter referred to as “services” as part of this drop-in use. Services are subject to availability. If any provided Service is unavailable, the Drop-in user shall inform SRS of that fact and SRS shall have a reasonable time in which to provide the service or a reasonable substitute.

The “premises” is defined for this Agreement as the designated drop-in area you signed up for. This Agreement does not provide the Drop-in user with any right to use other office space, amenity, fixture, facility or other portion of the building located at 615 3rd Ave SW, Pine City, Minnesota, without express written permission from SRS. Unauthorized entry into such areas will be considered a material breach of this Agreement and may result in immediate termination of Drop-in access and loss of access privileges. SRS reserves the right to take further action, including notification of building ownership and law enforcement, where appropriate.

Drop-in user terms are entered into for the time the premises is used. Drop-in user fees are billed and paid when the reservation is made.

The hot desk room holds 2 people (including the Drop-in user) and the conference room holds a total of 10 (including the Drop-in user). Additional private office spaces that guests may be allowed into upon reservation of these rooms may become available and will be posted online. Drop-in users are fully responsible for the conduct, behavior, and compliance with Snake River Sharespace policies of any guests they invite into the space.

7. Liability

Drop-in user acknowledges that SRS is not responsible for consequential losses arising from such interruptions.

18. Governing Law

This agreement is governed under the laws of the State of Minnesota.
